Terms of Service
Effective: June 1, 2026
Acceptance
By installing or using the SPT Shopify app, or by using the standardpartstoolkit.com website, you
agree to these Terms.
The service
SPT is a Shopify app for automotive parts merchants. It provides fitment search, catalog sync, PDP enrichment, in-cart fitment, price/inventory sync, and order export — configured per merchant, per Shopify store. SPT also offers a separate Merchant of Record service for sales tax collection and remittance.
Your account
You're responsible for the actions taken under your Shopify store and any sub-users you grant access to.
Acceptable use
You won't use the service to violate the law, infringe others' rights, or interfere with the service.
Customer data
You own your data. We process it on your behalf to provide the service. Our Privacy Policy and (where applicable) Data Processing Addendum govern how.
Fees
Plans and fees are described on our Pricing page. We may change pricing prospectively; existing subscriptions are honored until renewal. The Merchant of Record service is priced separately, on a transaction basis quoted per merchant.
Service availability
We aim for high availability but do not promise uninterrupted service except where a separate SLA applies.
Termination
Either party may terminate at any time. On termination, we'll provide reasonable assistance with data export and will delete or return your data per our agreement and applicable law.
Disclaimers and limitation of liability
The service is provided "as is" and "as available," without warranties of any kind. To the fullest extent permitted by law, SPT disclaims all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that any fitment, catalog, pricing, inventory, or other data processed through the service will be accurate or complete. You are responsible for reviewing and validating the data and configurations you publish to your store.
To the fullest extent permitted by law, in no event will SPT or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to these Terms or the service, whether based in contract, tort, or any other legal theory, and even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to these Terms or the service will not exceed the greater of (a) the total fees you paid to us for the service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain damages, so some of the above may not apply to you. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.
Governing law
These Terms are governed by the laws of the State of Illinois, USA.
